In accordance with the provisions of article 92 and paragraph 22 of article 10? of the Law
N*18.045, and the provisions of General Standard N*30 and its amendments,
I report -in the character of ESSENTIAL FACT- the following:
By communication made as an essential fact, published on 02
October 2020, it was reported that an agreement on the procedure was signed
that would govern the formal negotiation that would have as its final objective that society
SCHWAGER S.A. (Schwager) will become the owner or controller of all of
shares issued by the subsidiary SCHWAGER SERVICE S.A., in which
the former and SOCIEDAD DE INVERSIONES Y ASESORÍAS INVAOS LIMITADA (Invaos) are
shareholders in proportions of 60 and 40% respectively.
The negotiation was conducted rigorously in accordance with the agreed procedure. Even though

It was evident that the method of integration that was being negotiated, was not going to attract
the necessary support at the shareholders’ meeting that had to decide on it. Therefore,
previous, on July 11, 2022, Schwager’s board of directors agreed that it would not
