En virtud de lo establecido en el artículo 9? e inciso segundo del artículo 10% de la Ley de Mercado y Valores N* 18.045, el artículo 44, inciso 5% de la Ley de Sociedades Anónimas N* 18.046 y lo dispuesto en la Norma de Carácter General N* 210 de esa Superintendencia, y debidamente facultado al efecto, cumplo con informar a usted que en calidad de hecho esencial lo siguiente:
Con fecha 08 de marzo del 2010 la Sociedad Climate Change Capital Carbon Fund IL a través del documento que se adjunta, ha invitado a la sociedad a la cual represento y a su filial Schwager Biogas S.A. a extender hasta el día 10 de junio del 2010 la fecha limite señalada en el acuerdo de accionistas, suscrito el pasado 10 de septiembre del 2009, para satisfacer las condiciones precedentes que determinan el ingreso de Climate Change Capital en la propiedad de Schwager Biogas S.A.
De acuerdo a lo señalado por Climate Change Capital, la decisión, la cual compartimos, busca asegurar la correcta ejecución del proyecto, atendiendo las características del mismo, el significativo grado de avance que tiene el proyecto para dar cumplimiento a la totalidad de las condiciones precedentes descritas en el acuerdo de accionistas y a la situación actual del país y sus instituciones posterior al terremoto.

Shareholders agreement dated 10 September 2009 among Climate Change Capital Carbon Fund II S. Á R.L., Schwager Energy S.A. and Schwager Biogas
S.A. (SHA)
A We have seen the news about the terrific earthquake that affected Chile on the 27 of February. We would like to express our solidarity with the people of Chile and we trust that the country will regain normality soon.
We are relieved to find out that Schwager Energy did not suffer the loss of any employees nor of any of their close relatives during the earthquake.
In view of the difficult situation for Chile, its people and its institutions after the earthquake and considering the characteristics of the project and the significant progress made to date to fulfill the conditions of our SHA we invite you to extend the Approval Period, as defined in our SHA, for a period of three (3) months to ensure the proper execution of the transaction. This would place the deadline to satisfy the conditions precedent defined therein to the 10″ of June 2010.
In accordance with the requirement at clause 36 of the SHA to effect any changes to the SHA in writing, the parties are now setting down such an amendment in this letter.
Other than this changed deadline, all the terms and conditions of the SHA are hereby confirmed and shall remain in full force and effect.
Kindly acknowledge receipt of this letter, and indicate your acceptance to the terms of this letter by countersigning this letter and returning it to the attention of the undersigned.
