PRESENT
By virtue of the provisions of article 9 “and the second paragraph of article 10” of the Market Law
of Securities, in relation to Article 18? of Law N* 20,712, duly empowered and on behalf of
of Santander Asset Management S.A. Administradora General de Fondos (the “Administrator”,
management company of the Santander Private Debt Investment Fund (the “Fund”), I come in
communicate to you as an essential fact that in the Ordinary Assembly of Contributors of the Fund
Held on May 30, 2022, the following was agreed:
1. The annual account of the Fund presented by the Administrator, relating to the management and
administration of the Fund and related financial statements;
2. It was agreed to elect Mr. Sergio Godoy Wilson as members of the Supervisory Committee,
Fabiola Maldonado Gallardo and Rodrigo Manzur Lannefranque, and their remuneration was set at 20
Development Units per session, with a maximum of 5 sessions;
3. The expenditure budget for the Supervisory Committee of 100 Development Units was approved;
4. It was agreed to appoint Surlatina Auditores Limitada as the Fund’s external audit firm; and
5. It was agreed to appoint as independent experts or valuers of the Fund at the discretion of the Committee of
Monitoring and as the opportunity requires, to one of the following consultants KPMG Auditores
Consultores SpA., Econsult and Banmerchant.
