From our consideration:
By virtue of the provisions of the General Standard N*30 of the Commission for the
Financial Market, in Articles 9? and 10% of Law No. 18,045 on the Securities Market, and
being duly empowered to that effect, I communicate as an Essential Fact of Santana
S.A. the following:
That at the Ordinary Shareholders’ Meeting held on April 27, 2022 at 1:00 p.m.
hours, in the offices located in the North Forest 0177, 16th floor, the Board agreed on the
following matters:
1) Approval of the financial statements and the annual report for the year ended
31 December 2022, including the opinion of the external auditors;
2) The distribution of social profits and the fixing of the dividend policy and the
Procedure to be used for the payment of these.
3) The determination of the remuneration of the board of directors for the current year;
4) The appointment of PricewaterhouseCoopers Consultants, Auditors and Company
Limited as external auditors for the financial year 2022.
5) The election of the board of directors of the company for the triennium 2022, 2023 and 2024,
appointing Mr. Leonidas Vial Echeverría, Mr. Manuel José Vial Claro,
Eduardo Fernández León, Cristián Arnolds Reyes, Eduardo Fernández MacAuliffe,
Carlos Vial Claro and Francisco Cruzat Valdés.
6) The approval of the operations with related parties referred to in the Title
XVI of Law No. 18.046, on Corporations;
7) The designation of El Líbero as the newspaper where the publications will be made
Social.
It was also agreed to distribute a final dividend of $0.72474384 per share, which
corresponds to 30% of distributable net income in 2021.
