In accordance with the provisions of Law No. 18,045 on the Securities Market and General Standard No. 30 of the Commission for the Financial Market (the “CMF”), I hereby inform you as an ESSENTIAL FACT with respect to SALFACORP S.A. (the “Company”), registered under No. 843 of the Securities Registry under your charge, The following:
Yesterday, February 7, 2023, the legal preferential option period for the Company’s shareholders to exercise their right to subscribe the shares against the capital increase approved at the Extraordinary Shareholders’ Meeting held on November 22, 2022 for an amount of $ 25,000,000,000 has ended, whose issuance of 100,000,000 shares was registered in the Securities Registry of the CMF on December 28, 2022. To this effect, it is reported that shareholders subscribed and paid 91,717,251 shares of the Company, at a price of $250 per share, corresponding to 91.7% of the total shares offered.
In accordance with the agreement reached at the Extraordinary Shareholders’ Meeting, the remainder of unsubscribed shares paid for by their shareholders or assignees during the preferential offer period will be offered in a second round (the “Second Round”) to shareholders who have subscribed and paid the total number of shares to which they were entitled during the preferential option period and who have stated in writing to the Company, within such period, your interest in subscribing and paying shares of the remainder.
For these purposes, within a period of 5 business days from the end date of the preferential option period, information will be provided regarding the start date of the Second Round, indicating the total number of shares of the remainder that may be subscribed and paid by the shareholders participating in the Second Round, and the dates between which this period will be extended, which will last 5 trading days.
