Ref.: Call for an Extraordinary Shareholders’ Meeting and complements response to Official Letter No. 31469 sent on April 5, 2023.
In compliance with the provisions of articles 9 and 10 second paragraph of Law 18,045 and General Standard No. 30 of the Commission for the Financial Market, duly authorized, I inform you as an essential fact, that in a meeting of the board of directors of Ripley Corp S.A. (hereinafter the “Company”), held today, it was agreed to convene an Extraordinary Shareholders’ Meeting to be held on April 28, 2023, to be held immediately after the Ordinary Shareholders’ Meeting corresponding to the year 2023, which will be held at 11:00 a.m. remotely through the use of technological means that allow remote participation of shareholders, from the offices of the Company located at Alonso de Córdova 5320, 9th floor, Las Condes commune, Santiago, Metropolitan Region, in order to know and pronounce on: (i) the distribution of an eventual dividend of $20 per share from the Company’s retained earnings fund; and (ii) adopt such other resolutions as may be necessary to carry out the proposed dividend distribution or such other resolutions as the Board may decide.
On the other hand, complementing the response to Official Letter No. 31469 sent on April 5, 2023, regarding the sale of shares in Nuevos Desarrollos S.A., we inform you that the funds obtained in said sale will be used to reduce the Company’s indebtedness, strengthen the cash for the payment of dividends and continue with the investments of the Company’s strategic plan.
