Madam President:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 and General Rule No. 30 of the Commission for the Financial Market (“CMF”), and in compliance with the request through the Official Letter of the CMF No. 31469 dated April 4, 2023, I come to complement the essential fact published by Ripley Corp S.A. dated March 31, 2023, reporting the following:
(1) Regarding the use of funds obtained in the sale of shares.
The share purchase agreement entered into between Ripley Inversiones II S.A. (a subsidiary of Ripley Corp S.A.) and Plaza Oeste SpA establishes that the price of the shares will be paid within 30 calendar days from the date of signing the contract (March 31, 2023).
Because the price was determined on the same day of the sale and purchase, the use and destination of the funds still has to be resolved by the different instances of corporate governance of Ripley.
(2) Regarding the effects on results resulting from the sale.
It is estimated that the share purchase operation will generate a profit of 1,928 million pesos, an amount that may vary depending on the value of the Development Unit on the day of payment of the price.
