Madam President:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 and General Rule No. 30 of the Commission for the Financial Market, I inform you, as an essential fact, that on this date Ripley Inversiones II S.A., a subsidiary of Ripley Corp S.A., entered into a share purchase agreement with Plaza Oeste SpA, by virtue of which Ripley Inversiones II S.A. sold to Plaza Oeste SpA all the shares owned by Ripley Inversiones II S.A. in Nuevos Desarrollos S.A., equivalent to 22.5% of the shares of said company.
The price of the purchase and sale of shares amounts to the amount of UF 4,620,204, corresponding to 22.5% of the average company value determined by two leading banks. This price will be paid within 30 calendar days following this date, in compliance with the put option contemplated in the shareholders’ agreement of Nuevos Desarrollos S.A., exercised by Ripley Inversiones II S.A., and which was informed as an essential fact to the Financial Market Commission on August 31, 2022.
