Madam President:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 and General Rule No. 30 of the Commission for the Financial Market, I inform you, as an essential fact, that with this date the company Ripley Inversiones TI S.A., a subsidiary of Ripley Corp S.A., in its capacity as shareholder of Nuevos Desarrollos S.A., exercised the put option contemplated in the Shareholders’ Agreement of Nuevos Desarrollos S.A., by virtue of which Plaza Oeste SpA, its shareholder in Nuevos Desarrollos S.A., will have the obligation to obtain a buyer for the total of the shares owned by Ripley Inversiones II S.A. in Nuevos Desarrollos S.A. at a price equal to or greater than the Company Value. The buyer may also be Plaza Oeste SpA or any of the companies of its business group. For purposes of this option, the Company Value will be the arithmetic average of the securities granted by two first-line banks.
In accordance with the Shareholders’ Agreement of Nuevos Desarrollos S.A., the respective purchase agreement will be signed within 30 days from the date on which the Company Value is determined. The price will be paid in cash.
Nuevos Desarrollos S.A. is the company that owns, by itself and through subsidiaries, the shopping centers Mallplaza Alameda, Mallplaza Sur, Mallplaza Bio-Bio, Mallplaza Egaña, Mallplaza Copiapó, Mallplaza Los Dominicos, Mallplaza Iquique and Mallplaza Arica.
