From our consideration:
In compliance with the provisions of articles 9 and 10 second paragraph of Law No. 18,045 on the
Values and the provisions of General Standard No. 30 and its subsequent amendments, issued
For your Commission, I come to communicate the following Essential Fact:
1) On April 4, 2022, an Essential Fact was sent to the Commission for the Financial Market
Reserved for the purpose of informing that Rebrisa S.A., through its subsidiary Seguridad and
Telecomunicaciones S.A., had held talks with the company ADT Security Services S.A. to
study the alternative of the latter acquiring certain assets of our subsidiary. In addition, it was reported
that, for the purposes of determining a price for the commercial transaction, a
set of private information, for which an Agreement of
Confidentiality.
2) Subsequently, on April 29, 2022, it was sent to your Commission for the Financial Market
an Essential Fact informing that the parties had finally entered into a Contract of Sale of
Assets (the “APA”), however, in this communication there was no mention of the cessation of the reservation of the
information contained in the Essential Fact dated April 4 of this year.
3) By virtue of the foregoing, and considering that the transaction is already of full knowledge of our
shareholders, as reported at the Ordinary Shareholders’ Meeting of Rebrisa S.A. held on 29
of April 2022, it is no longer necessary for the information relating to the indicated transaction to continue
keeping in strict confidentiality, so in this act we communicate to your Commission the
Termination of such reservation.
