In compliance with the provisions of articles 9 and 10 second paragraph of Law No. 18,045 of
Securities Market and the provisions of General Standard No. 30 and its subsequent
Amendments issued by your Commission and duly authorized, I come to communicate the
Next Essential Fact:
On April 28, 2022, the subsidiary Seguridad y Telecomunicaciones S.A (hereinafter “Security”
Sat”), a company whose main business is the monitoring of private and commercial home alarms,
signed an Asset Purchase Agreement with the company ADT SECURITY SERVICES S.A.,
(the “Buyer”). By virtue of this contract, the Buyer undertook to acquire all of the
active Security Sat clients.
Additionally, the Buyer will acquire a set of assets consisting of alarm equipment
domiciliaries and their components, telecommunications licenses and other minor assets.
The base price of the contract of sale was established in the amount of UF 244,680.- amount that
may experience variations due to the application of the adjustments stipulated in the contract
respectively, which depend on various factors established in the agreement of wills
signed and its respective annexes. The payment of the price will be paid in installments, according to the
