Dear Mrs. Bernstein,
In accordance with the provisions of Articles 9 and 10, second paragraph, of Law No. 18,045 on the Securities Market, and the instructions issued by the Financial Market Commission in its General Standard No. 30, being duly empowered to this effect by the Board of Directors, I hereby inform you of the following regarding Quiñenco S.A. (“Quiñenco”) and its businesses, As an essential fact:
On this date, Quiñenco’s subsidiary, Invexans Limited, announced that it sold 4,203,638 shares of the French company Nexans S.A. (“Nexans”), through an accelerated bookbuilding offering, made through a private placement to institutional investors (the “Sale”).
The sale attracted strong interest from a broad base of institutional investors, was priced at €80 per share and raised a net US$367 million. As a result of the Sale, the shareholding of Quiñenco’s subsidiaries in Nexans was reduced to 19.2%.
Invexans Limited also informed that, after the completion of the Sale, it would continue to be a reference shareholder of Nexans, with active representation on its board of directors. To emphasize this commitment, it granted to the banks acting as global coordinators and joint placement agents of the Sale, a “lock-up period” or obligation not to sell, for a period of 180 days, the shares of Nexans not included in the Sale, subject to certain customary exceptions.
In accordance with the provisions of Circular No. 988 of that Commission, Quiñenco has preliminarily calculated that the Sale will generate a positive financial effect before taxes, of approximately US$148 million.
