Dear Sir or Madam,
In accordance with the provisions of Articles 9 and second paragraph of Article 10 of Law No. 18,045 on the Securities Market, by General Standard No. 30 and Circular No. 660 of the Commission for the Financial Market, being duly empowered to do so, I have to inform, as an essential fact, that, At the Board meeting held on April 7, 2022, it was agreed to propose to the next Ordinary Shareholders’ Meeting to be held on April 29, 2022, the distribution of a definitive dividend composed of:
– A mandatory minimum dividend amounting to Ch$567,943,692,204, equivalent to 30% of the Profit attributable to the owners of the holding company for the year 2021, of which the sum of Ch$284,767,001,333 has already been paid, as a provisional dividend in November 2021, corresponding on this occasion to distribute the amount of Ch$283,176,690,871.
This dividend corresponds to the sum of $170.30525 (one hundred seventy point thirty thousand five hundred and twenty-five pesos) per share, which will be proposed to be paid as of May 2, 2022, to the Shareholders registered in the respective registry at midnight of the fifth business day prior to said date, that is, on April 26, 2022.
With respect to a part of this dividend, the Shareholders will have the possibility of accessing the transitory and optional legal regime established in the twenty-fifth transitory article of Law No. 21,210 (“ISFUT Regime”), having given prior instruction and authorization to the Company so that 15.26702% of the amount of the dividend under said regime is withheld and paid as a single and substitute tax (“ISFUT”) and that corresponds to them by their actions. Specifically, the dividend per share indicated in the previous paragraph: (a) $152.10289 pesos per share are eligible for the ISFUT Regime; and (b) $18.20236 pesos per share are not eligible for it.
Said instruction and authorization of the Shareholders interested in exercising the aforementioned option, must be sent to the Company no later than 5:00 p.m. on April 26, 2022, through the form called “Final Tax Substitute Tax Payment Instructions”. This form will be available to shareholders as of April 14, 2022, on the website of the www.quinenco.cl Company, date on which the first notice of summons to the Ordinary Shareholders’ Meeting will be published in the newspaper El Mercurio de Santiago.
For more information on the optional ISFUT regime, the Company will make available to shareholders a document called “Information on the optional tax regime replacing final taxes”, which will be available as of April 14, 2022, on the website of the Company www.quinenco.cl.
– An additional dividend amounting to the equivalent in pesos to the sum of €561,996,115 (five hundred and sixty-one million nine hundred and ninety-six thousand one hundred and fifteen euros).
This dividend is equivalent to the sum of €0.33799 (zero point thirty-three thousand seven hundred and ninety-nine euros) per share, which will be proposed to be paid on June 24, 2022, to shareholders registered in the respective registry at midnight of the fifth business day prior to that date, that is, on June 17, 2022.
The aforementioned additional dividend will be paid in its equivalent in pesos national currency, using for these purposes (a) the euro/dollar WM/R exchange rate published by Reuters at 16:00 London time on 8 June 2022, and (b) the observed dollar exchange rate published by the Central Bank of Chile in the Official Gazette of June 9, 2022, which will be informed in due course.
