In accordance with the provisions of articles 18% of Law 20,712 and 9th and 10th second paragraph of Law No. 18,045 on the Securities Market, and being duly empowered to that effect, I hereby come to communicate to you, as an essential fact, the following:
On May 24, 2023, the extraordinary meeting of contributors of the Public Investment Fund Penta Las Américas Infraestructura Tres was held, which agreed to reduce the capital of the Fund, from $18,809,536,066.-, divided into 3,064,434 quotas to $16,288,939,666.-, that is, at $2,520,596,400.-, leaving unchanged the number of quotas of the Fund.
The agreed capital reduction will be paid to the contributors within 30 days from May 24, 2023, in proportion to their subscribed and paid installments.
Those contributors who have been registered as such in the register of contributors of the Fund at midnight of the fifth business day prior to the respective payment will be entitled to the payment of the indicated capital reduction.
