Present
ESSENTIAL FACT
CHILE COMMODITY EXCHANGE,
BOLSA DE PRODUCTOS AGROPECUARIOS S.A.
By virtue of the provisions of article 92 and second paragraph of the
Article 10? of Law N2 18.045 on the Securities Market and the provisions of the Securities Market Norm
General Character N2 30 of that Commission, and duly empowered for that purpose, I comply in
inform you, as an essential fact of the Chilean Commodity Exchange,
Productos Agropecuarios S.A., the following:
1. At the ordinary shareholders’ meeting held on 26 April
2022, it was agreed to appoint as an external audit firm of the company for the present
2022 financial year to EY Servicios Profesionales de Auditoría y Asesorías SpA and appoint the journal
Electronic www.lanación.cl as a diary to make social publications.
2. At an extraordinary meeting of shareholders of the company held
on April 26, 2022, which was attended by 83.3% of the issued shares entitled to
Vote of the company, were adopted, with the favorable vote of all shareholders
attendees, the agreements noted below
a) To annul the resolutions adopted at an extraordinary meeting
of shareholders dated July 31, 2020.
b) Modify the name of the company of Commodity Exchange of
Chile, Bolsa de Productos Agropecuarios S.A. to Bolsa de Productos de Chile S.A., by the way
of the entry into force of Law N*21.158 amending Law N*19.220 regulating the
establishment of product exchanges,
c) Modify the object of the company in the sense of (1) eliminate
the denomination “agricultural” to adapt it to the modifications introduced by the Law
N?* 21.158 to Law N*19.220; (ii) amend the wording of point (e) to delete
the reference to agricultural management, in view of the changes incorporated by Law N*
21.158 to Law N*19.220, and replace it with a reference to the management and financing of
products in general; and (ii) include the provision of product custody services
directly or through other entities, as authorized by Article 20 of the Law
N*19.220.
d) Incorporate formal amendments to the bylaws
necessary to adapt them to the provisions of Law No. 21,158, which amends the Law
N*19.220 that regulates the establishment of product exchanges, as well as the dictation of a
Consolidated text of the statutes.
It is recorded that all the agreements adopted in the indicated
extraordinary shareholders’ meeting are without prejudice to the approval by the Commission for the
Financial Market of the reported social modifications, in accordance with the provisions of the
Article 127 of Law 18,046 on Corporations, as well as the registration and
Publication of the certificate referred to in the final paragraph of article 126 of the same Law.
