By virtue of the provisions of article 9 “and second paragraph of article 10” of the Law
N”*18.045 on the Securities Market, the provisions of General Standard N*30 of
that Commission, as well as in the other rules that are applicable, acting duly
authorized to do so, I comply with informing you, as an essential fact with respect to
the company, which has received a copy of a Shareholders’ Agreement through which the
The following shareholders shall exercise control of the Company:
1) BOLSA ELECTRÓNICA DE CHILE, BOLSA DE VALORES, company incorporated in Chile, RUT
N296.551.730-8;
2) INVERSIONES BURSÁTILES S.A., a company incorporated in Chile, RUT N*96.643.560-7;
3) SIF ICAP CHILE HOLDINGS LIMITADA, a company incorporated in Chile, RUT N* 76078825-2;
4) GRUPO BVL S.A.A., a company incorporated in Peru, RUC N*20100055661;
5) DIVISO GRUPO FINANCIERO S.A., a company incorporated in Peru, RUC N*20509845167;
6. LARRAÍN VIAL S.A., CORREDORES DE BOLSA DE PRODUCTOS, a company incorporated in Chile,
RUT N*99.587.310-9; and
7. CONTÉMPORA CORREDORES DE BOLSA DE PRODUCTOS S.A., a company incorporated in Chile,
RUT N*76.686.240-3.
The members of the pact currently have the following shares in the capital
Stock Exchange Shares:
– Electronic Stock Exchange of Chile, Stock Exchange : 5.02%
– Inversiones Bursátiles S.A. : 12.9%
– SIFICAP Chile Holdings S.A. : 14.33%
– Grupo BVL S.A.A. : 10.03%
– Diviso Grupo Financiero S.A. : 10.03%
– Larraín Vial S.A. Corredores de Bolsa de Productos S.A. : 5.02%
– Contémpora Corredores de Bolsa de Productos S.A. : 5.02%
TOTAL : 62.35%
Of the members of the Shareholders’ Agreement, the Electronic Stock Exchange of Chile, Stock Exchange;
Larraín Vial S.A., Corredores de Bolsa de Productos S.A.; and Contémpora Corredores de Bolsa de
Productos S.A.; are companies audited by the Commission for the Financial Market.
Under the Covenant, the undersigned shareholders shall exercise control of the Stock Exchange by acting
jointly and participating with equal interest in the matters regulated in
this.
