From our consideration:
In compliance with the provisions of Articles 9 and 10 of Law 18,045, as well as the provisions of Circular No. 660 and General Standard No. 30 of the former Superintendence of Securities and Insurance, and duly authorized by the Board of Directors, I inform you of the following as an ESSENTIAL FACT:
On the same date, the Company has granted a mandate to Santander Corporate and Investment Banking to act as its financial advisor in the structuring of a competitive process, in order to evaluate strategic alternatives for the operation and development of the colocation business in SONDA’s Datacenters. These alternatives include, among others, an eventual strategic partnership, joint business management or joint venture, as well as the possibility of a direct or indirect partial sale of the assets of its Data Center business located in Chile, Colombia and Brazil.
To date, it is not possible to determine the legal nature of the business alternatives, nor the terms and values involved, nor the possible financial effects that the informed matter will have for the Company.
