materialization of the Private Equity division |
Investment Fund.
Dear Sir or Madam:
Hereby, and in compliance with the provisions of Article 18″ of
Law No. 20,712 on the Administration of Third Party Funds and Individual Portfolios, the
Article 9″ and the second paragraph of Article 10″ of Law No. 18,045 on the
Values, and in relation to the provisions of General Standard No. 30 and its
modifications, being duly authorized, I hereby communicate to
You have the following information as an Essential Fact with respect to Private Equity
Investment Fund (the “Fund”).
By means of an Essential Fact dated December 21, 2022,
informed this Commission and the market in general about the agreements adopted in
Extraordinary Assembly of Fund Contributors (the “4th Assembly”), held on
20 December 2022, in particular in relation to the division of the Fund (the
“Division”), which shall remain in force for all purposes to which it gave rise, and creating

date the Division has materialized and legalized, verifying all its effects, the

Investment and Private Equity Infrastructure Investment Fund, investment funds
non-redeemable managed by Ameris Capital Administradora General de
Fondos S.A.
The allocation of the assets and liabilities of the
Fund to the New Funds.
A decrease in the capital of the Fund materialized for the purposes of the Division,
by reducing the value of each of the quotas, which aims to
carry out the asset allocations and deposit the capital of the New Funds,
which has thus been paid in full.
Ameris Capital Administradora General de Fondos S.A. has issued and placed the
following quotas for each New Fund:
a) Private Equity Real Estate Investment Fund:
. 28,988,062 quotas for Serie A; and 169,246,010 assessed contributions for the
Series B, which have been paid for by the allocation of
assets and liabilities of the Fund to Private Equity Real Estate Fund
Investment and have been delivered to the participants of the Fund, passing
these to be also contributors of Private Equity Real Estate Fund of
Investment.
b) Private Equity Infrastructure Investment Fund:
. 28,988,062 quotas for Serie A; and 169,246,010 assessed contributions for the
Series B, which have been paid for by the allocation of
assets and liabilities of the Fund to Private Equity Infrastructure Fund
Investment and have been delivered to the participants of the Fund, passing
these to be also contributors of Private Equity Infrastructure Fund
of Investment.

5. That today, December 22 of this year, the
Internal Regulations of the New Funds, deposited on 21
December 2022 in the Public Registry of Deposit of Internal Regulations
which the Commission carries out for this purpose.
