Private Equity | Investment Fund
From our consideration,
By means of the present, duly authorized for that purpose, in
under the provisions of Article 18 of Law No. 20,712 in relation to Article
9* and Article 10, second paragraph, of Law No. 18,045; I communicate to you, the following
ESSENTIAL FACT regarding Private Equity | Investment Fund, hereinafter the
“Background.
In extraordinary meeting of the board of directors of Ameris Capital
Administradora General de Fondos S.A. held on December 13,
2022, it was agreed to distribute a provisional dividend from the Fund, amounting to the
Total amount of US$ 35,533,778.12.- charged to the net profit received
Estimated for the year 2022.
For reference, the value that would correspond to pay of the
Fund, considering the number of installments subscribed and paid as of the 13th day of
December 2022, is as follows:

Finally, it is reported that this dividend will be paid from
Monday, December 19, 2022, by bank transfer, to
Contributors who are registered as such in the Register of Contributors of the
Fund at midnight on the fifth business day preceding the date of payment,
corresponding to the amount resulting from dividing the total amount to be distributed by the
number of quotas subscribed and paid, recorded in said Register to date
mentioned above.
