From our consideration:
In accordance with the provisions of Article 10 of Law No. 18,045, in relation to the provisions of the
subsection 2″ of article 9 of D.F.L N* 251 and in Section 1, numeral 1.1.4.1 of Circular N* 991, and
Circular N*660 both of the Superintendency of Securities and Insurance (today “Commission for the
Financial Market”), and especially empowered by the Board of Directors, I comply with informing that in
Extraordinary Meeting of the Board of Directors held on November 30, 2022, it was agreed
convene an Extraordinary Shareholders’ Meeting to be held on December 12 of this year.
year, in order to propose the payment of a possible definitive dividend of
$50,000,000,000.-, equivalent to $11,944.2576 per share, charged to accumulated earnings
of previous years.
The dividend payment will be effective on December 23, 2022, to the holders of the
shares registered in the Shareholders’ Register on December 16, 2022, to the extent that
so approved by the Extraordinary Shareholders’ Meeting.
We note that, to date, the Company complies with the patrimonial and
solvency provided in DFL N”251 to propose to the Meeting the distribution of dividends charged
to accumulated profits from previous years
