Resolutions Ordinary Shareholders’ Meeting
Dear Commissioners,
I wish to inform you that pursuant to the provisions of Article 9″ and 10″ paragraph 2″ of
Law 18.045, I inform you as an ESSENTIAL FACT regarding the company PRINCE OF
WALES COUNTRY CLUB SOCIEDAD ANÓNIMA INMOBILIARIA (the “Company”), which, on the day
of yesterday, this is April 29, 2022, the Ordinary Shareholders’ Meeting of
the Society.
The following matters were discussed at the meeting:

The Board approved the annual report, balance sheet, and consolidated financial statements, in addition to
of the Report of the External Auditors for the year ended 31
December 2021;
A new Board of Directors was appointed, whose members are the following: Carlos Ruiz de
Gamboa Riquelme, Francisco Javier Antúnez Díaz, Gonzalo Muñoz Armendáriz,
Mónica Véliz Bórquez, María Soledad Blanc Koljanin, Rodney Everard Colvill-Jones and
Michael Walbaum Fath.
It was agreed not to distribute dividends among the shareholders of the Company;
Appointed as independent auditors of the Company for the financial year
corresponding to the year 2022 to PKF Auditores Consultores Limitada;
The related operations referred to in Title XVI of the Law were reported
No. 18.046.
The newspaper El Mostrador was designated for the purposes of the notices that, in accordance with
the law, the Society must publish.
