Ref. : Complements Essential Fact dated March 31, 2023.
From our consideration:
By means of the present, and in accordance with the provisions of articles 9 and 10 of Law N*
18.045 of the Securities Market and the provisions of General Standard No. 30 of the
Commission for the Financial Market, we come to complement the essential fact informed
to the market on March 31.
As communicated in the aforementioned essential fact, at the Extraordinary Shareholders’ Meeting
On March 30, 2023, in addition to the capital increase, it was approved, among other matters,
the sale of part of the portfolio of Primus Capital S.A., taking into account also
that it is a transaction between parties related to the wording of the article
44 of Law N* 18.046 on Corporations.
In this regard, we come to complement the information indicated above in the sense that it
On March 31, Primus Capital S.A. disposed of shareholders and their related persons a
Net portfolio of credit provisions equivalent to $25 billion
approximately, according to the contracts of sale concluded for that purpose;
paying the price indicated the same day, in cash and in cash.
Finally, and concerning the possibility for shareholders to launch a purchasing power of
the public offering instruments issued by Primus Capital S.A. as reported in
previous essential facts, given that they did not undergo a
Significant variation, with respect to the buying and selling peaks of the days prior to the
news, it was not considered necessary to carry out at this time said purchasing power, without prejudice
that the situation will continue to be monitored and evaluated, not ruling out that this will eventually
may be carried out in the future, in which case it will be informed to this Commission and to the market in
general.
