Dear Sir or Madam:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 on the Securities Market and
in Article 18 of Law No. 20,712 on Administration of Third Party Funds and Portfolios
Individuals, being duly empowered to this effect, I come to inform the following in
Essential Fact quality of the Prime-Infrastructure Investment Fund II (the “Fund”).
managed by CMB-Prime Administradora General de Fondos S.A.:
On January 25, 2023, Inversiones Aeroportuarias Araucanía S.A. (“LAA”), a company
subsidiary of the Fund, sold to (1) Empresa Constructora Belfi S.A. 4,899 shares issued by
Sociedad Concesionaria Aeropuerto Araucanía S.A. (“Company”) which represent
approximately 48.98% of the shares into which the share capital of the Company is divided; and
(ii) to Inversiones y Construcciones Belfi S.A.. 1 share issued by the Company owned by
IAA, which represents approximately 0.02% of the shares in which the capital of
the Company, disposing of its entire shareholding in the Company.
It is noted that the contract for the sale of shares includes usual safeguards
in this type of operations, being subject to Chilean law.
