Ref.: Announces the holding of the Ordinary Shareholders’ Meeting.
Dear Sir or Madam:
In compliance with Article 9? and second paragraph of article 10* of
Law N* 18.045 on the Securities Market and General Standard N? 30 of the
Commission for the Financial Market, and duly authorized, I inform you of the following,
as an essential fact of Potasios de Chile S.A. (the “Company”):
That, on April 29, 2022, the Ordinary Shareholders’ Meeting of the
Society, in which the following agreements were approved, among others:
The Annual Report, Balance Sheet, Financial Statements and report of the company
external audit, for the year ended 31 December
year 2021;
The shareholders agreed to ratify the interim dividends paid and
approved the distribution of 30% of the net profits for the year 2021,
those amounting to MUS $117,654 net of tax; approving to distribute the
balance of distributable profits for the financial year 2021, amounting to SSM
$21,639, to be paid at the rate of US$ 0.00926087 for each Series A share and
to US$ 0.01018696 for each Series B share, to be paid to shareholders
as of May 13, 2022, in its equivalent in pesos currency
national, according to the value of the Observed Dollar that will be published in the
Official Journal on May 5, 2022.
Pricewaterhouse Coopers Consultores Auditores SpA was appointed as
External audit firm for the year 2022.
Other matters of social interest of competence of the Ordinary Meeting were dealt with
of Shareholders of the Company.
