In accordance with Article 9? and in the second paragraph of Article 109, both of Law 18,045,
and in the General Standard N? 30, duly authorized and on behalf of PARENT COMPANY
SAAMS.A. (“SM SAAM”), I come to inform as an ESSENTIAL FACT, the following:
On May 6, 2022, SM SAAM, through its subsidiary SAAM Towage Brasil S.A. (“ST Brasil”),
signed an asset purchase agreement with the Brazilian company Starnav Servigos Marítimos Ltda.
(“Starnav”), which established the terms and conditions for acquiring the 17 tugs with which
This company develops its port towing businesses in Brazil and 4 tugboats under construction.
The total price agreed for the 17 tugs in operation was US$ 150 million and the total price
agreed by the 4 tugboats under construction was US$ 48 million.
Today, May 3, 2023, having obtained the regulatory authorization of free competition, and having obtained

The financial debt of the acquired tugs (approximately USD$ 83 million) was assumed by ST

continue to consolidate its leadership in the tugboat market in America.
The impact on the financial statements of SM SAAM of the reported facts will be communicated in a timely manner,
