From our consideration:
In accordance with Article 9? and in the second paragraph of Article 10?, both of Law 18,045,
and in the General Standard N? 30, duly authorized and on behalf of PARENT COMPANY
SAAM S.A. (“SM SAAM>”), I come to inform as an ESSENTIAL FACT, the following:
On this date, SM SAAM, through its subsidiary SAAM Towage Brasil S.A. (“ST Brasil”), signed an agreement
of purchase and sale of assets with the Brazilian company Starnav Servigos Marítimos Ltda. (“Starnav”), in which
The terms and conditions were established to acquire the 17 tugboats with which said company
develops its port towing business in Brazil and 4 tugboats under construction, which would be delivered
within the next 12 months.
The total price agreed for the 17 tugboats in operation is US$ 150 million and the total agreed price
for the 4 tugboats under construction is US$ 48 million. The financial debt of tugboats in
operation, as well as the financial debt committed by the tugboats under construction would be assumed by
ST Brasil, thus deducting from the price to be paid to Starnav. The financial debt associated with the 17
tugboats in operation is estimated at closing at US$ 65 million, bringing the disbursement associated with the 17
tugboats in operation are estimated at US$ 85 million.
The 17 tugboats in operation are state-of-the-art, have an average age of 6.9 years, they are all
azimuth and have an average bollard pull of 74 tons. For their part, tugboats in
Construction will also be azimuth and will have 80 tons of Bollard Pull each.
ST Brasil currently has 51 tugboats in operation and this transaction, once completed, will
it will modernize its fleet, enhance its growth capacity and strengthen its position in Brazil.
It will also allow SM SAAM to continue consolidating its leadership in the tug market in the Americas.
This transaction is subject to approval by the relevant regulatory authorities in Brazil and the
