Dear Sir or Madam:
In my capacity as General Manager of the company Parque Arauco S.A. (the “Company”), in accordance with the provisions of Article 92 and second paragraph of Article 102 of the Securities Market Law and General Rule No. 30 of the Financial Market Commission, and duly empowered for this purpose, I hereby communicate to you as an Essential Fact the following:
By means of transfers dated May 2, 2022, filed on May 3, 2022 to the Company’s shareholders’ registry, Inmobiliaria Atlantis S.A. (“Atlantis”) transferred to its shareholders all of its shares in Parque Arauco S.A., in proportion to their respective shares. In accordance with the provisions of General Rule No. 104, the aforementioned shareholders have communicated that, on the same date, they entered into a joint action agreement that gives them control of the Company.
As a result of the above, Inmobiliaria Atlantis S.A. has ceased to be a shareholder of Parque Arauco S.A., passing control of it to the group of shareholders that are part of the aforementioned joint action agreement. This group of shareholders shall jointly exercise control of the Company.
