Ref.: Communicates relevant fact.
By means of, and in accordance with the provisions of articles 9? and 10* of Law 18.045 and
Circular No. 662 of the Commission for the Financial Market, we inform you of the following Relevant Fact
regarding ORSAN Seguros de Crédito y Garantía S.A.
It has been found the existence of a deficit in the relationship between Equity / Risk Equity, with respect to
of September of the current year, equivalent to a ratio of 0.86 when the regulations require that the ratio
must be greater than or equal to 1.
On the other hand, it was found that the Financial Indebtedness ratio turned out to exceed the established limit. In
effect, the ratio determined by the calculation made yielded as a result 1.16 and the regulations require that the ratio
must be less than or equal to 1.
The aforementioned situation had its origin in a relevant generation of business during the reported month which
resulted in a temporary increase in the Company’s liabilities.
Likewise, in accordance with the provisions of Title IV of Decree with Force of Law N* 251 of 1931, we can
inform that the indicators referred to above, which total an amount of MM$ 607.-, will be
regularized in the course of October 2022 as a result of the progressive fulfillment of the plans of
Payment subscribed.
On the other hand, we note that on October 20 of the current year, the Board of Directors of the Company
agreed to call an Extraordinary Shareholders’ Meeting to be held on November 11, 2022 in order to
to modify the bylaws of the Company giving course to a capital increase of MM$ 3,000.- which will remain
subject to the approval of your body.
