In compliance with the provisions of paragraph 2% of article 9 of DFL N* 251, in relation to
Article 10 of Law No. 18,045, duly authorized and on behalf of Orión Seguros
Generales S.A. (the “Company”), we hereby inform you as
essential fact, that on April 26, 2023, the Ordinary Shareholders’ Meeting was held
of the Company (the “Meeting”), which was attended by 100% percent of the shares issued with
Right to vote.
That, at the Ordinary Shareholders’ Meeting of the Company, it was unanimously agreed by its
shareholders, among other matters, the following:
1.
Approve the Company’s balance sheet, financial statements, annual report and
report of the external auditors, of Mr. PwC, all corresponding to the year
Ended December 31, 2022.
Distribute a final dividend of $0.796672637 per share, charged to earnings
of the year 2022, which will be paid as of May 16 of this year.
Approve operations carried out with related parties.
Approve and set the remuneration of the directors for the year 2023.
Appoint PricewaterhouseCoopers Consultores Auditores SpA as an auditing firm
external for the financial year 2023.
Designate Feller-Rate firms as Limited Risk Classifiers and International Credit
Rating Company Rating of Limited Risks as risk classifiers for the
Fiscal year 2023.
