Ref.: Informs essential fact – Communicates summons to Ordinary Shareholders’ Meeting.
From our consideration,
In compliance with the provisions of Article 63 of Law No. 18,046 and Circular No. 991 of
This Commission for the Financial Market, I inform you that the board of directors of Orión Seguros
Generales S.A. has agreed to convene an ordinary shareholders’ meeting to be held remotely
on April 26, 2023, at 11:00 a.m., at the offices of the company, located on Avenida
Isidora Goyenechea N*2932, office 201, commune of Las Condes, in order to deal with matters
typical of this class of joints, among which are:
+ Examination and approval of the balance sheet, memory, income statements and company report
of external audit of the company, corresponding to the year 2022;
+ Knowledge and information of operations between Related Parties, as
provided for in Article 146 of Law No. 18.046;
Determination of the remuneration of the members of the Board of Directors for the year 2023;
Dividend distribution;
Designation of External Audit Company for the year 2023;
Designation of Risk Classifiers;
Determination of the journal for the purposes of publishing citations that
proceed by 2023; and
+ Other matters of social interest and typical of an ordinary shareholders’ meeting.
Additionally, I inform you that the Company’s Financial Statements as of December 31
of 2022, will be published soon on the Company’s website www.segurosorion.cl
and the corresponding hyperlink will be sent in accordance with current regulations.
Because it is assured that the
all shares issued by Orion, other summons formalities will be omitted
respectively, in accordance with art. 60 of Law No. 18,046 on Corporations.
