REF. Reports essential fact – resolutions Ordinary Meeting
From our consideration:
In compliance with the provisions of paragraph 2% of article 9 of DFL N* 251, in
relation to Article 10 of Law N* 18,045, duly empowered and on behalf
of Orión Seguros Generales S.A. (the “Company”), hereby
we inform you as an essential fact, that on April 29,
2022 the Company’s Ordinary Shareholders’ Meeting (the “Meeting”) was held, at which
100% percent of the issued voting shares attended.
The Ordinary Meeting unanimously of its shareholders the following:
1. Approve the Company’s balance sheet, financial statements, report
annual and the report of the external auditors, of Mr. PwC, all
corresponding to the year ended December 31, 2021.
2. Approve, with respect to the destinations of profits charged to the year 2021,
not to distribute such profits and keep them as reserves for the purposes of
future distributions.
3. Approve the operations carried out with related parties.
4. Approve and fix the remuneration of the directors for the year 2022.
5. Appoint the Company’s External Auditor for the year 2022 to
PwC.
