From our consideration:
Duly authorized by the board of directors of Empresas La Polar S.A. (hereinafter, the “Company” or the “Company”), by virtue of the provisions of Article 9 and the second paragraph of Article 10 of Law No. 18,045, and numeral 2.2 of Section IM of General Standard No. 30 of the Commission for the Financial Market, I hereby report the following as an essential fact:
1. On April 28, 2023, the Ordinary Shareholders’ Meeting of the Company was held, cited for this purpose (hereinafter the “JOA”).
2. In the JOA it was agreed:
to. Approve the annual report, balance sheet, statements and financial statements presented by the Company’s directors for the year 2022 and the report of the external audit firm as of December 31, 2022.
b. Designate as an external audit firm, for the financial year 2023, the company EY Audit Limitada.
c. Designate as risk classifiers, for the year 2023, the firms International Credit Rating Company Limited Risk Rating Company and Humphreys Limited Risk Rating Agency.
d. To elect as members of the Board of Directors of the Company, for the statutory period of 3 years, Mr. Leonidas Vial Echeverría, Mr. Manuel Vial Claro, Mr. Andrés Eyzaguirre Astaburuaga, Mr. Alfredo Alcaíno de Esteve, Mr. Anselmo Palma Pfötzer, Mr. Sergio Guzmán Lagos and Mr. Christian Blomstrom Bjuvman. These last two gentlemen were elected as independent directors.
e. Designate Diario La Nación as a newspaper for summons to meetings and other social publications.
f. Set the remuneration of the Board of Directors and the members of the Directors’ Committee for the year 2023.
