From our consideration:
Duly empowered by the board of directors of Empresas La Polar S.A. (hereinafter, the “Company” or the “Company”), by virtue of the provisions of Article 9 and the second paragraph of Article 10 of Law No. 18,045, and numeral 2.2 of Section II of General Standard No. 30 of the Commission for the Financial Market, I hereby report the following as an essential fact:
1. On April 19, 2022, the Ordinary Shareholders’ Meeting of the Company was held, cited for this purpose (hereinafter the “JOA”).
2. In the JOA it was agreed:
to. Approve the annual report, balance sheet, statements and financial statements presented by the Company’s directors for the year 2021 and the report of the external audit firm as of December 31, 2021.
b. To designate EY Servicios Profesionales de Auditoría y Asesorías SpA as an external audit firm for the year 2022.
c. Designate as risk classifiers the firms International Credit Rating Company Limited Risk Rating Company and Humphreys Risk Rating Limited.
3. Immediately following the JOA, an Extraordinary Meeting of Shareholders of the Company also cited for April 19, 2022 (hereinafter the “JEA”) was held.
4. The JEA agreed:
to. Modify the Bylaws of the Company in order to incorporate rules referring to compliance with the corporate purpose and matters that must be considered by the Board of Directors of the Company in the performance of its activities. The foregoing, in order for the Company to obtain the certification of “B Company”. In this sense, the following were incorporated:
– A new Article Fourth Bis, immediately following Article Four of the Company’s bylaws, referring to the corporate purpose, with the following wording: “Article Fourth Bis. In the fulfillment of the corporate purpose, the company will seek to generate a positive impact for the community, people linked to society and the environment. Only the shareholders of the company may demand compliance with the provisions of this article.”
– A new paragraph at the end of Article Twelfth of the Company’s bylaws, relating to its administration, with the following wording: “In the performance of its activities, the management of the company shall consider not only the interests of its shareholders, but also the employees, customers and suppliers of the company and other parties directly or indirectly linked to it. Likewise, it must ensure the interests of the community where it operates and the protection of the local and global environment. The directors must record in the annual report or in periodic communications to shareholders, as appropriate, the actions taken in this regard. Compliance with the foregoing may only be demanded by the shareholders of the company.”
b. Update the bylaws through formal and reference adjustments related to regulatory changes incorporated into the Corporations Law and its Regulations.
