Ref.: Communicates agreement on dividend distribution.
Mr. Vice-President,
In compliance with the provisions of Article 9 and second paragraph of Article 10 of Law No. 18,045, on the Securities Market and in Circulars Nos. 660 and 1062 of the Commission for the Financial Market, and duly authorized, I inform you of the following, as an essential fact of Norte Grande S.A. (the “Company”):
In a meeting held on April 7, 2022, the Board of Directors of the Company agreed to propose to the next Ordinary Shareholders’ Meeting of the Company, to be held on April 29 of the current year, that it approve the distribution and payment of definitive dividends for the 2021 business year, and in favor of the respective shareholders, 100% of the net profit of the 2021 business year, which reached the sum of MUS$241,072 net of taxes.
Considering the provisional dividend paid on January 21, 2022, for an amount of US$0.00070644 per share, there is an amount to be distributed of MUS$116,817. Additionally, it was agreed to propose the distribution of an eventual dividend in the amount of MUS$26,287 charged to the accumulated profits of previous years.
The profit that is proposed to be distributed as an additional final dividend will correspond to US$0.00066415 per share and that which is proposed to be distributed as an eventual dividend will correspond to US$0.00014945 per share.
This amount, if approved, will be paid in its equivalent in pesos, national currency, according to the exchange rate of the dollar observed on the day on which said dividend is approved by the Ordinary Shareholders’ Meeting, in favor of those shareholders of the Company who are registered in the respective Registry, on the fifth business day prior to that on which it will be paid.
