Ref. Communicates ESSENTIAL FACT of NIBSA S.A., registered Securities Registry with N* 625.
From our consideration:
By means of the present, and as provided in article 9% and second paragraph
of Article 10? of Law No. 18,045 on the Securities Market, we inform you of a fact that
It has the character of essential, because it is important for the company since it directly affects
on an asset of the company.
By Essential Fact sent to this Commission on November 8
of 2021, we inform that by public deed granted on November 4, 2021, in the
Notary of Santiago de Doña Susana Belmonte, NIBSA S.A. promised to sell to Demo Entity
Patrocinante SpA, who promised to buy for SERVIU Metropolitano, in accordance with the
established by article 1449 of the Civil Code, the properties located in the commune of San
Joaquín where the company is currently located, lands that as a whole total
25,611.74 square meters.
In this communication, the most relevant characteristics of this
contract of promise of sale, including the promised price, amounting to the sum of
308,772 Development Units (UF); the deadline for signing the final contract of sale,
which was established had to be made within three hundred calendar days of signature
of the contract of promise of sale, that is to say August 31, 2022, and the fact that the conclusion
of the promised contract of sale was subject to the approval of an Extraordinary Meeting
of Shareholders of the company, which should be made prior to the signing of the contract of
Promised sale.
We hereby inform that the contract of sale
promised on the company’s properties has been signed by NIBSA S.A. on 25
August 2022, within the contractual deadlines. In that contract the price of
sale of the properties, ultimately amounting to 308,772.17 UF, to be paid: a) With the sum of
41,209.63 UF, in its equivalent in pesos as of March 16, 2022, corresponding to the total balance
of the savings accounts of each of the families assigned to the housing project to be developed

in these properties; and b) with the sum of 267,562.54 UF, in its equivalent in pesos on the day of payment.
cash, corresponding to the subsidy granted by Exempt Resolution N* 202 (V. and U.) of
Date February 17, 2022. The sale price will be paid as soon as the registration is credited
of the aforementioned properties in the name of the buyer in the Real Estate Conservator of
San Miguel, free of all mortgages and liens, and in addition, is administratively processed by the
SERVIU Metropolitano, the respective “Resolution approving contract and payment order”.
The aforementioned deed of sale is currently in the process
signed by the mortgagee, Banco de Chile, and then signed by the
legal representative of Serviu Metropolitano. The signing of both entities is expected for the
following days, after which your registration in the Real Estate Conservator will correspond
competent.
As regards the financial effect of this operation, it is estimated that this
transaction, will generate in the financial statements of the Company “sales income” equivalent to
130,052 UF, considering the book value of the property as of June 30, 2022.
The Company is evaluating other impacts that the transaction will generate, in matters of
deferred taxes, income taxes, and operating costs for the transfer of the Company to
new facilities; which will be registered and disclosed to the market by December 31, 2022.
