Madam President:
On behalf of Nexus Chile Health SpA (hereinafter the “Company”), registered as an issuer under No. 1,179 in the Securities Registry of the Financial Market Commission (hereinafter, the “CMF”), and duly authorized, in accordance with the provisions of Art. 92 and paragraph 22 of art. 102 of Law 18,045, Securities Market Law, and in General Rule No. 30 of the CMF, I communicate to you the following as an essential fact:
On April 30, at 11:00 a.m., the Ordinary General Meeting of Shareholders of the Company was held, through technological means, considering General Standard No. 435 of the CMF, in which the following resolutions were adopted:
1. The Company’s Balance Sheet, Annual Report and other Individual and Consolidated Audited Financial Statements under IFRS standard, corresponding to the 2022 financial year, are approved. The reports of the External Audit Firm for the same period are also approved.
2. The Dividend Policy is approved. It is agreed not to distribute minimum dividend for the period.
4. It is agreed regarding the designation of the Independent External Audit Firm, for the period 2023.
5. Notice is taken of the transactions with related parties that the Company has carried out in the period, which have been adjusted to conditions of equity similar to those that usually prevail in the market.
In accordance with the provisions of General Standard No. 30, the Minutes of the Ordinary Shareholders’ Meeting in question have already been sent.
