Ref: Communicates Agreements of the Ordinary Assembly of Contributors of Fondo de Inversión Nueva Energía l.
From our consideration:
By means of this letter, and by virtue of the provisions of Article 18 of Law No. 20,712, Article 9 and the second paragraph of Article 10 of Law No. 18,045, and duly authorized by the Board of Directors of Larrain Vial Activos S.A. Administradora General de Fondos (the “Administrator”), I hereby inform you, as a material fact with respect to the Administrator, of the following:
At the Ordinary Meeting of Contributors of the Nueva Energía Investment Fund (the “Fund”), held on May 10, 2023, it was agreed:
i. The approval of the annual account of the Fund’s management by its Administrator and the financial statements of the Fund corresponding to the 2022 fiscal year.
ii. Approval of the reports submitted by the Fund’s external auditors, PKF.
iii. Approval of the annual account of the Fund’s Supervisory Committee.
iv. The appointment of the members of the Supervisory Committee, thus, the members of the Supervisory Committee will be Pedro Bassi Fontecilla, Felipe Díaz Lorca and Juan Ignacio Ugarte until the next Ordinary Assembly of Contributors.
v. That the members of the Supervisory Committee receive as remuneration for each session they attend, the amount of 10 Unidades de Fomento gross with a maximum of 6 remunerated sessions.
vi. That the expense budget for the Fund’s Oversight Committee amounts to 200 Unidades de Fomento, until the next Ordinary Assembly of Contributors is held.
vii. The appointment of Surlatina Auditores Limitada as the Fund’s external audit firm for fiscal year 2023.
viii. The appointment of the firms Carrillos & Asociados and Colliers as the Fund’s independent valuation firms for the 2023 fiscal year.
Finally, the other resolutions necessary to implement the decisions made by the Ordinary Assembly of Contributors to the Fund were adopted.
