This communication is made pursuant to Article 9 and the
second paragraph of Article 10 of Law No. 18,045, as it is an essential fact with respect to
Multiexport Foods S.A. (the “Company”).
On April 18, 2022 at 10:00 a.m., the Extraordinary Shareholders’ Meeting was held
of the Company cited at the Board of Directors meeting held on March 17, 2022. At that Meeting, the
All participating shareholders, representing 93.23 per cent of the shares
issued with the right to vote, agreed, as indicated in Article 147 of the Law on
Corporations, approve the operation with a related party and therefore sign the agreement
of shareholders called “Amended and Restated Shareholders Agreemen?, between Multiexport
Foods S.A., Cargill Chile Holdings SpA, Mit-Salmon Chile SpA, and the Company’s subsidiary, Salmones
Multiexport S.A., among other parties, once each and every one of the conditions of
closure established in the contracts of sale reported to this Commission through
essential fact dated March 18, 2022.
