This communication is made pursuant to Article 9 and
the second paragraph of Article 10 of Law No. 18,045, as it is an essential fact
with respect to Multiexport Foods S.A. (the “Company”).
We hereby inform you that at the Extraordinary Meeting of the Board of Directors.
of Multiexport Foods S.A. held today, April 4, 2022, the Board of Directors of the Company
received the individual opinions of the directors, regarding the suitability for the
social interest of the signing of a shareholders’ agreement called “Amended and
Restated Shareholders Agreement”, as a related party transaction, between
Multiexport Foods S.A., Cargill Chile Holdings SpA, Mit-Salmon Chile SpA, and the subsidiary of the
Company, Salmones Multiexport S.A., among other parties. Individual opinions were
issued provided that the signing of the shareholders’ agreement constitutes an operation
of related parties that will be submitted to the consideration of the extraordinary meeting of
shareholders of the Company convened for April 18, 2022, at 10:00 a.m.
Accordingly, as of this date, a copy of the individual opinions of each
Director will be available to shareholders at the registered offices and on the website of
Internet of the www.multi-xsalmon.com Company, pursuant to Article 147 N*6 of the Law on
Corporations.
