By virtue of the provisions of Article 9 and second paragraph of Article No. 10 of Law No. 18,045 and the provisions of General Rule No. 30 of the Commission and duly authorized for this purpose, I inform you as an Essential Fact, that at the Board Meeting of Molibdenos y Metales S.A. held today, On May 23, 2023, the Board of Directors learned of the resignation of Mr. Boris Buvinic Guerovich as Director of the Company, which will be effective as of May 30, 2023.
Thus, from the date on which Mr. Buvinic’s resignation becomes effective, and without prejudice to the power of the Board of Directors to appoint a replacement at the time it deems appropriate, it will be composed of the following persons, who will serve in their positions until the next Ordinary Shareholders’ Meeting of the Company, opportunity in which the board of directors must be completely renewed in accordance with Article 32 of Law No. 18,046: Eduardo Guilisasti Gana, Karlheinz Wex, Raúl Álamos Letelier, Hernán Cheyre Valenzuela, Luis Felipe Cerón Cerón, Juan Manuel Gutiérrez Philippi, José Miguel Barriga Gianoli, Nicolás Anastassiou Rojas and Wolfgang Kóck.
