Dear Sir or Madam:
Under Article 9? and second paragraph of article N*10 of the Law
N*18.045 and the provisions of General Rule N*30 of the Commission and
duly authorized for this purpose, I inform you as an Essential Fact, that the
Board of Directors of the Company, in Session N*1.005, held on March 28, 2023, agreed to cite
to the shareholders of Molibdenos y Metales S.A., to the Ordinary Shareholders’ Meeting,
for April 18, 2023, at 4:00 p.m., to be held in the Building Auditorium
Administration MolymetNos, located in Camino Peñuelas N*%0258, Nos, commune of San
Bernardo. Shareholders may attend in person or by video conference. This Board
Its purpose shall be to rule on the following matters:
1. Submit for approval the Annual Report, the Balance Sheet, the Financial Statements and the
Report of the External Auditors for the year ended 31
December 2022.
2. Submit for approval the payment of the Final Dividend N*93 of USD $0.30 per
share, to be paid on April 27, 2023, from which the dividend will be deducted
provisional N*92, paid on December 22, 2022.
Set the remuneration of the Board of Directors.
Set the remuneration of the Directors’ Committee and determine its budget.
Appoint the External Auditors for the period 2023.
Designate the Risk Classifiers for the period 2023.
Determine the newspaper where the summonses to Boards of
Shareholders of the Company.
8. Information on operations with related parties provided for in Law N*18,046
on Corporations.
9. Deal with other matters of social interest within the competence of the Ordinary Meeting,
in accordance with the Law and the Bylaws.
