Ref.: Essential Fact – Summons to Ordinary Shareholders’ Meeting.
Madam President:
In accordance with the provisions of Article 9% and second paragraph of Article 10% of Law No. 18,045
of the Securities Market, and the provisions of Circular N* 991 of that Commission, and in exercise of the powers that
I hereby inform you, as an Essential Fact, that the Board of Directors of MetLife Chile
Seguros de Vida S.A., hereinafter the “Company”, agreed to summon to the Ordinary Shareholders’ Meeting
Be held on April 27, 2023, at 1:00 p.m., which will be held at the offices of
Agustinas N* 640, Piso 22, Comuna de Santiago, in order for the shareholders to pronounce themselves
on the following subjects:
a) The examination of the situation of the Company, of the reports of the External Auditors and the
approval or rejection of the Annual Report, Balance Sheet and other Financial Statements of the Company
for the year ended 31 December 2022;
b) The revocation and election of the members of the Board of Directors;
c) The fixing of the remuneration of the members of the Board of Directors.
d) The designation of the External Audit Firm for the year 2023;
(e) The designation of a periodical for legal publications to be made by the Society;
(f) Profit-sharing;
9) The report of operations with related parties;
h) Any other matter of social interest whose knowledge does not correspond to the Extraordinary Meeting
of Shareholders.
Because it is certain that one hundred percent of the issued shares will attend, the
Call publications.
The Board also agreed that if the participation of
Shareholders in person, participation will be allowed through the use of technological means that
the Company will authorize this in accordance with the provisions of NCG N*%435 and the Circular Letter
N*1141 of your Commission.
The publication of the Financial Statements as of December 31, 2022, will be practiced on the website of the
Company, according to the terms established in Article 76 of Law No. 18,046.
