REF.: COMMUNICATION OF ESSENTIAL FACT.
From our consideration:
In accordance with the provisions of article 9* and second paragraph of article 10 of the Law
N*18.045 on the Securities Market and in General Standard N*30 of the
Commission for the Financial Market, duly authorized, I come to communicate to you,
as an essential fact with respect to Masisa S.A. (“Masisa” or the “Company”) and its
business, the following:
At a meeting held on this date, the Board of Directors agreed to summon the Extraordinary Meeting of
Shareholders of the Company (the “Meeting”), by March 29, 2023, at 10:30 a.m.,
to submit for approval a decrease in Masisa’s capital by an amount
Total of 176,983,897.07 United States dollars, consisting of (i) a
decrease in capital in the amount of US$136,983,897.07
America, to absorb the accumulated losses as of December 31, 2022 by said
amount, in order to leave the Company in a position to be able to distribute dividends in
the future to the extent that it generates profits and (ii) a decrease in capital by an amount
of US$ 40,000,000, to be distributed among
all shareholders of Masisa, in proportion to their participation in the Company, for the purpose of
to distribute the cash surpluses generated by the operation of the business in 2022.
With this decrease of US$ 176,983,897.07, the
current subscribed and paid-up capital amounting to US$ 596,556,991.95
United States of America, divided into 7,480,886,772 shares without par value, of the same and
single series and without privileges, would decrease to the amount of $419,573,094.88
United States of America, without changing the number of shares in which it is divided.
