REF.: COMMUNICATION OF ESSENTIAL FACT.
From our consideration:
In accordance with the provisions of article 9% and second paragraph of article 10 of the Law
N*18.045 on the Securities Market and in General Standard N*30 of the
Commission for the Financial Market, duly authorized by the Board of Directors, I come in
communicate to you, as an essential fact with respect to Masisa S.A. (“Masisa” or the
“Company”) and its business, the following:
At a meeting held on this date, the Board of Directors agreed to summon the Extraordinary Meeting of
Shareholders of the Company (the “Meeting”), by January 27, 2023, at 9:30 a.m., for
submit to its approval a decrease in Masisa’s capital in the amount of
58,000,000 United States dollars, to be distributed among all
the shareholders of Masisa, in proportion to their participation in the Company. If such
decrease, current subscribed and paid-up capital of US$ 654,556,991.95
United States of America, divided into 7,480,886,772 shares without par value, of the same and
single series and without privileges, will be reduced to the amount of 596,556,991.95 dollars of the
United States of America, without changing the number of shares in which it is divided.
The purpose of this capital decrease is to distribute to the shareholders of Masisa the
funds from the sale of the Argentine subsidiaries Forestal Argentina S.A. and Masisa Forestal S.A.,
owners of the forestry assets that Masisa had in that country, a transaction that materialized
on December 27.
Further background information on the Board will be disclosed in the notice of summons that
in due course it will be sent by mail to the shareholders and will be published in the newspaper La Segunda and
on the Company’s website.
