Ref.: Resolution of Extraordinary Meeting of
Shareholders of reduction and distribution of
capital.
Dear Madam President:
In accordance with the provisions of the Circular
N*660, dated October 22, 1986, of your Commission, and duly authorized, I comply with
inform this Commission, as an Essential Fact, that at the Extraordinary Meeting of
Shareholders of Marítima de Inversiones S.A. held today, the decrease was agreed
of the share capital in 21,000,000,000 pesos, legal tender, that is, from
220,586,085,194 pesos, legal tender, divided into 2,815,004,995 shares, of the same
and single series, without nominal value, fully subscribed and paid, at 199,586,085,194 pesos, currency
legal tender, divided into equal number and type of shares.
The agreed capital reduction will lead to
effect through the distribution to the shareholders of said sum, in proportion to their respective
Participation in the share capital, according to the number of shares they own registered in the
Registration of Shareholders at midnight on the fifth business day prior to the date of distribution.
In this way, the shareholders will have
Right to receive, by way of return of capital, the amount 7.46002228675 pesos, currency of
legal tender, by action, that –after compliance with the procedures and deadlines provided for in the
applicable legal and regulatory rules — shall be payable on a date agreed upon by the Board of Directors, at
that it was vested with broad powers for that purpose.
