From our consideration.
In accordance with the provisions of circulars N*662 and 99 of the CMF, by means of this
we would like to inform, as an essential fact, that at the Ordinary Meeting of
Shareholders of MAPFRE Compañía de Seguros Generales de Chile S.A. (the “Company”)
Held on April 12, 2023, it was agreed, among other matters, the following:
1.
Approve the report, balance sheet, the report of the external audit company and the
financial statements of the Company for the year ended December 31, 2022;
The renewal of the Board of Directors, being conformed by Mr. Carlos Molina
Zaldívar, Jose Miguel Sánchez Callejas, Alejandra Loyola Schmidt, Mauricio Robles
Parada and Isabel Riera Schiappacasse.
Appoint KPMG Auditores as external auditors for the year 2023
Consultants Limited,
Designate the risk rating companies for the year 2023 to Classifier
Humphreys Risk Limited and International Credit Rating (ICR)
Do not proceed to distribute dividends.
Designate the newspaper La Segunda for the corresponding legal publications.
Review of operations with related persons or entities.
The details of the resolutions adopted at the Ordinary Shareholders’ Meeting are set out in the
respective Act, which will be sent in a timely manner in accordance with current regulations.
