Ref: Communicates summons to Assembly
Ordinary and Extraordinary Meeting of Contributors.
From our consideration:
Pursuant to the provisions of Article 9 and the second paragraph of Article 10 of the Securities Market Law, and Article 18 of Law No. 20,712, being duly authorized, I hereby inform as an essential fact of Fondo de Inversión Link – Deuda Privada Rentas ERNC (the “Fund”), administered by Link Capital Partners Administradora General de Fondos S. A. (the “Administrator”), that by agreement of the Board of Directors of the Administrator, a Meeting of the Fund’s Contributors is hereby called to be held on May 30, 2023, at Avenida Alonso Córdova, Alonso Córdova, Chile.A. (the “Administrator”), that by agreement of the Board of Directors of the Administrator, a Meeting of Contributors of the Fund is hereby called to be held on May 30, 2023, at Avenida Alonso de Córdova N° 4,355, office 603, Vitacura, Santiago.
A. Ordinary Meeting of Contributors, to be held at 10:00 a.m. on first call and at 10:30 a.m. on second call, in order to deal with the following matters:
To approve the annual account of the Fund to be submitted by the Administrator, regarding the management and administration of the Fund, and to approve the corresponding Financial Statements.
2. To elect the members of the Supervisory Committee and fix their remuneration, if applicable.
3. Approve the budget for the expenses of the Oversight Committee.
4. Appoint, from among three persons proposed by the Supervisory Committee, the external audit firm of the Fund from among those registered in the Register kept for this purpose by the Financial Market Commission.
5. In general, any matter of common interest of the Contributors that is not proper for an Extraordinary Assembly of Contributors.
B. Extraordinary Meeting of Contributors, to be held immediately after the Ordinary Meeting of Contributors, whether it is held according to the schedule of the first or second summons, in order to deal with the following matters:
1. To modify numeral 2.3. of number TWO. “Oversight Committee” of Title IX “Corporate Governance” of the Fund’s internal regulations.
Incorporate a number TEN “Firefighters of Chile” to Title X “Other Relevant Information” of the Fund’s internal regulations.
3. To adopt such other resolutions as may be necessary to implement the decisions of the Extraordinary Assembly.
PUBLICATION OF THE FUND’S FINANCIAL STATEMENTS
The Financial Statements of the Fund and the opinion of the external audit firm were published on the Administrator’s website www.linkcapitalpartners.com/agf, dated March 31, 2023, and this information can be accessed directly by clicking on the following hyperlink: Financial Statements of Fondo de Inversión Link – Deuda Privada Rentas ERNC.
RIGHT TO PARTICIPATE IN THE ASSEMBLY AND TO VOTE REMOTELY
The Contributors who are registered in the Register of Contributors at midnight of the fifth business day prior to the date of the Meeting shall have the right to participate in the Meetings.
In accordance with the provisions of the Financial Market Commission in General Rule No. 435 and Circular 1,141, both dated March 18, 2020, the Contributors are hereby informed that they may attend and vote at the Meetings by technological means.
Contributors must inform no later than May 26, 2023, if they will participate in the Meetings by such means, by sending an e-mail to [email protected] and [email protected], in which they must inform the name of the contributor or representative who will attend and attach the documents that prove their identity and legal capacity. More information on the background information to be submitted and the process for accreditation at the Assemblies is available on the website www.linkcapitalpartners.com/agf.
The participation, attendance and voting of the Contributors participating in the Meetings by technological means will be carried out through the online video-conference system called Microsoft Teams. Further details on the operation of this system are available on the website referred to in the preceding paragraph.
QUALIFICATION OF POWERS
The qualification of proxies, if applicable, shall be carried out on the same day of the Meetings, at the time they are to begin.
