Dear Sir or Madam:
I hereby inform VS. that at the Ordinary Meeting of the Board of Directors held on 28
July of the current year, by the unanimity of the directors present, it was agreed to convene a Meeting
Extraordinary Shareholders for August 22, 2022, at 11:00 a.m., in Agustinas Street
657, 3rd floor, commune of Santiago, in order to know and pronounce on the following matters:
a) Inform shareholders that, having not paid the balance of shares subscribed within the
Legal term that expired on July 12, 2022, the capital has been reduced by right to
the amount of $ 400,000,000, that is, the amount of the capital actually subscribed and paid to the
Moment of incorporation of the company.
b) Authorize the Board of Directors to refrain from collecting from shareholders the amounts owed by the
Subscribed and unpaid actions, in accordance with the provisions of paragraph 3 of article 18 of the
Regulation of Corporations, and
c) Agree on a capital increase for $ 600,000,000 to be paid within 3
years counted from the date of the Meeting, issuing new shares or adjusting their number
as agreed at the said Board.
Because it is certain that one hundred percent of the issued shares with voting rights will attend,
They shall omit the summons formalities.
Holders of shares registered in the Register of
Shareholders who, at the time of initiation, appear as such in the respective registry.
The qualification of powers, if applicable, will be made on the same day as the Meeting.
