Ref.: Communicates Voluntary Early Redemption Option for Series E Bonds.
Madam President:
In compliance with the provisions of Article 9 and second paragraph of Article 10 of Law 18,045, the provisions of General Rule No. 30 of this Commission, duly empowered for this purpose, I come to report the following as an essential fact with respect to the company, its securities and public offer thereof:
Clínica Las Condes S.A. will offer a voluntary early redemption option, with financing and own resources, to all holders of Series E Bonds issued under the line of bonds registered in the Securities Registry of its Commission, dated March 16, 2018 under No. 889, currently in circulation, for a total amount of up to 400,000 Development Units for unpaid capital, all in accordance with the provisions of Article 130 of Law No. 18,045, Securities Market Law, in the form, dates and conditions detailed in the Notice published on this date, in the Diario el Líbero, the text of which is attached to this communication.

VOLUNTARY EARLY REDEMPTION OPTION FOR SERIES E BONDS
CLINICA LAS CONDES S.A. (“CLC”), a public limited company, Rol Único Tributario N° 93.930.000-7, registered in the Securities Registry under N° 433, domiciled in Estoril N° 450, commune of Las Condes, Santiago, informs the holders of its Series E Bonds issued under the line of bonds registered in the Securities Registry of the Commission for the Financial Market dated March 16, 2018 under N° 889 (” Series E Bonds”), which offers a voluntary early redemption option to all holders of Series E Bonds currently outstanding for a total amount of up to UF400,000 par value, all pursuant to Article 130 of Law No. 18,045, Securities Market Law, as detailed below (the “Redemption Option”).
The voluntary early redemption of the Series E Bonds will be made through Valores Security S.A. Corredora de Bolsa (the “Representative”), according to the terms and conditions indicated below:
1. The voluntary Early Redemption Option is granted under identical conditions to all holders of Series E, for up to a total amount of UF400,000 par value, equivalent to 800 Series E Bonds currently outstanding. Those holders of Series E Bonds who voluntarily want to participate in this voluntary early redemption, must deliver for redemption full bonds for their minimum cut of UF500 each and not part of them.
2. The redemption of Series E Bonds voluntarily surrendered for early redemption will take place on Wednesday, April 27, 2022 (the “Redemption Date”).
3. The Series E Bonds will be redeemed using the fixed income instrument valuation system of the computer system of the Santiago Stock Exchange (“SEBRA”), using the par value of each Series E Bond to be redeemed and a price of 100%. The value thus obtained will not accrue interest or readjustments and will be paid in its equivalent in pesos, national current currency, according to the value of the Promotion Unit of the Redemption Date.
4. The voluntary early redemption of Series E Bonds is subject to the fulfillment of the following success condition: that the Series E Bonds that are voluntarily redeemed are free of any encumbrance, prohibition, embargo, litigation, precautionary measure, suspensive or resolutory condition, preferential right of third party, real or personal right in favor of third parties, and in general, any other circumstance that prevents or limits its free assignment or transfer.
5. Holders of Series E Bonds who voluntarily wish to surrender their bonds for early redemption, must communicate their acceptance to the Redemption Option through a written communication that must be sent before 2:00 p.m. on Wednesday, April 27, 2022, at which time the acceptances will be irrevocable (without prejudice to what is indicated in point 8) below), to the email CustodiaDCV (Asecurity.cl (the “Letter of Acceptance”), with the formalities and contents that will be established by the same Agent and that will include at least: (a) a certificate of positions of the Series E Bonds to be delivered for early voluntary redemption; (b) contact details of the relevant holder of Series E Bonds, or their representative, as the case may be, and of the bank current account into which the surrender payment is to be deposited and of the corresponding CSD account; and (c) where applicable, a copy of the
