Ref.: Communicates resolutions of the Ordinary Shareholders’ Meeting.
Dear Madam President,
In compliance with the provisions of Article 9 and the second paragraph of Article 10 of Law No. 18,045 on the Securities Market, as well as the provisions of General Standard No. 30 of this Commission, duly authorized for this purpose, I inform you as an essential fact of CLÍNICA LAS CONDES S.A. (the “Company”) that at the Ordinary Shareholders’ Meeting, held on this date, it was agreed as follows:
1. Approval of the report, balance sheet, financial statements and report of the external auditors for the year ended December 31, 2021.
2. Approval of the distribution of earnings for the year ended December 31, 2021, in the amount of $659.6366 per share, to be paid on May 20, 2022.
3. Approval of the remuneration of the Board of Directors, the Directors’ Committee and the latter’s budget.
4. Appointment of Deloitte Auditores y Consultores Limitada as external auditors for the financial year 2022.
5. Designation of ICR Compañía Clasificadora de Riesgo Limitada and Feller-Rate Clasificadora de Riesgo Limitada as risk classifiers for the year 2022.
6. The newspaper “El Líbero” was designated as a newspaper to carry out social publications.
7. Information was provided on resolutions of the Board of Directors related to acts or contracts referred to in Title XVI of Law No. 18,046 on Corporations.
8. The powers are granted and the necessary powers are delegated for the materialization of the agreements.
